Introduction

Welcome to Woolean ("the App"), a product from Pith and Pip, LLC ("us", "we", "our", or "company"). By accessing or using our application, you agree to be bound by these Terms and Conditions ("Terms"). Please read these Terms carefully before using the App.

Acceptance of Terms

By accessing or using the App, you acknowledge that you are of the age of majority in your jurisdiction and have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

Age Requirements

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater, to use the App. By using the App, you represent and warrant that you meet this age requirement. If you are under the required age, you may not use the App.

If we discover or have reason to suspect that you are not of the required age, we reserve the right to suspend or terminate your account immediately.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the App after such modifications will constitute your acknowledgment and agreement to the modified Terms.

Account Registration

To use certain features of the App, you may need to register for an account. You agree to provide accurate and complete information during registration and to update such information to keep it accurate and current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Authentication Methods

The App uses Google Authentication to verify user identities. When you choose to create an account or log in:

  • You will be redirected to authenticate through Google's service
  • We receive and store basic profile information from your Google account
  • We do not have access to your Google password

You are responsible for maintaining the security of your Google account. Any actions taken through your account are your responsibility.

User Content

Content Ownership

Any content you upload to the App ("User Content") remains your property. However, by uploading content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and store your User Content for the purpose of providing and improving the App.

Content Restrictions

You agree not to upload User Content that:

  • Infringes upon intellectual property rights of third parties
  • Contains defamatory, offensive, or illegal material
  • Includes malware, viruses, or other harmful code
  • Violates the privacy or publicity rights of others

We do not actively monitor all user uploads but reserve the right to remove any content that violates these Terms or is otherwise objectionable.

Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the App in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of the App or its systems
  • Interfere with or disrupt the App or servers connected to the App
  • Reverse engineer, decompile, or attempt to extract the source code of the App

Intellectual Property

The App, including its content, features, and functionality, is owned by us and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit in any way any portion of the App without our prior written consent.

Third-Party Services

The App utilizes various third-party services to provide functionality and store data, including:

  • Google Authentication for user login and account verification
  • Google Firestore for storing core application data
  • Vercel for application hosting and computing services
  • Amazon S3 for image and file storage

By using the App, you acknowledge and consent to the involvement of these third-party services in processing your data. Each of these services has their own terms of service and privacy policies which may apply to you through your use of our App.

Data Security

We implement appropriate technical and organizational measures to protect your personal information against unauthorized or unlawful processing, accidental loss, destruction, or damage. However, please be aware that no method of transmission over the internet or method of electronic storage is 100% secure.

While we strive to use commercially acceptable means to protect your information, we cannot guarantee its absolute security. By using the App, you acknowledge these inherent risks.

Privacy Policy

Our Privacy Policy, available at Privacy Policy, describes how we collect, use, and share your personal information. The Privacy Policy is incorporated by reference into these Terms.

By using the App, you consent to our collection and use of information as described in our Privacy Policy. If you do not agree with our Privacy Policy, please do not use the App.

Termination

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the App.

Indemnification

You agree to defend, indemnify, and hold us harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the App or your violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from or relating to these Terms or the App shall be resolved through binding arbitration in Dallas County, Texas, in accordance with the laws of the State of Delaware. The arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association.

You agree that any arbitration shall be limited to the dispute between you and us individually. To the full extent permitted by law: (a) no arbitration shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

International Users

The App is controlled, operated, and administered by Pith and Pip, LLC from its offices within the United States. If you access the App from a location outside the United States, you are responsible for compliance with all local laws.

You agree that you will not use the App content or materials in any country or in any manner prohibited by any applicable laws, restrictions, or regulations. The App may not be appropriate or available for use in certain jurisdictions outside of the United States.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Entire Agreement

These Terms constitute the entire agreement between you and us regarding the App and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
